Conditions for acceptance
A foreign-invested limited liability company may apply for registeration when all of the following conditions are met:
1. Approval from the relevant government authority shall be required for foreign investment projects falling under the Special Administrative Measures for Foreign Investment Access (Negative List),；
2. The number of shareholders complies with the statutory requirements for a limited liability company, which stipulate a maximum of 50 persons;
3. The capital contributions by the shareholders are consistent with the articles of incorporation;
4. The articles of association are jointly formulated by the shareholders;
5. There is a company name, together with an organizational structure established subject to the requirements of a limited liability company;
6. There is a business domicile;
7. At least one shareholder must be of foreign nationality.
